You must not:
-
Use our website or services for unlawful, fraudulent, deceptive or harmful activities.
-
Attempt to gain unauthorised access to our systems, accounts or infrastructure.

Interfere with the security, performance or availability of our services.
-

Use our services to infringe intellectual property, privacy, confidentiality or other legal rights.
-
Submit information that you are not authorised to disclose or process.
-
Attempt to circumvent applicable access controls, usage restrictions or security measures.
-
Misrepresent AI-generated outputs as independently verified facts or official institutional findings where they have not been appropriately validated.
We reserve the right to investigate suspected misuse and take proportionate action, including restricting access or suspending services where reasonably necessary and legally permitted.
5. AI Technology and Participatory Intelligence
Neith AI uses artificial intelligence and related technologies to support the analysis and interpretation of information.
Our technology may assist users in identifying patterns, recurring themes, relationships and interdependencies across stakeholder perspectives and other submitted materials.
AI-generated outputs may include summaries, classifications, analytical observations and other information intended to support human understanding.
You acknowledge that AI technologies have limitations and may produce inaccurate, incomplete, inconsistent or misleading outputs.
Accordingly:
-
AI-generated outputs should be reviewed and interpreted in context.
-
Outputs should not automatically be treated as verified facts or authoritative conclusions.
-
Important findings should be checked against relevant source material.
-
Appropriate human oversight should be applied when outputs inform policy, public administration, resource allocation or other consequential decisions.
-
The accuracy and usefulness of results may depend on the quality, completeness, representativeness and context of the information supplied.
Neith AI is designed to support informed analysis and decision-making. Unless expressly agreed in writing, our services do not replace professional judgement, institutional accountability or legally required decision-making procedures.
6. No Guarantee of Policy or Institutional Outcomes
Neith AI provides technology and related services to support participatory intelligence, stakeholder analysis and evidence-informed decision-making.
We do not guarantee that using our services will result in a particular policy outcome, regulatory decision, level of public participation, stakeholder response, institutional approval or commercial result.
The use of AI-generated insights does not, by itself, establish that a decision is lawful, fair, representative or appropriate.
The organisation responsible for a decision remains responsible for assessing relevant evidence, considering applicable legal obligations, exercising appropriate judgement and complying with its institutional mandate.
Where applicable, clients should ensure that decisions affecting individuals or communities are subject to appropriate human review, transparency and accountability.
7. Client Responsibilities and Submitted Information
You are responsible for the information, documents, data and other materials that you submit to or process through Neith AI.
You represent and warrant that:
-
You have the necessary rights, permissions and authority to submit the information.
-
Your submission and use of the services comply with applicable law.
-
You have established an appropriate legal basis for any personal information you provide or instruct us to process.
-
You have provided any notices and obtained any consents or authorisations required by law.
-
You will not knowingly submit unlawful material or information that you are prohibited from disclosing.
Where you use Neith AI to analyse public consultation submissions, stakeholder feedback, research documents or institutional records, you remain responsible for ensuring that the information is collected and processed lawfully.
You must not submit sensitive personal information, confidential government material, classified information or other restricted information unless the relevant service is designed and authorised to process it and the necessary safeguards and permissions are in place.
Where Neith AI processes information on behalf of a client, the parties' respective responsibilities will be governed by applicable law and, where relevant, a separate written data-processing or service agreement.
8. Ownership of Information and Intellectual Property
8.1 Neith AI Intellectual Property
Unless otherwise agreed in writing, Neith AI or its relevant licensors retain ownership of the intellectual property associated with our website, platform, software, technology, branding, designs, documentation, methodologies and proprietary materials.
Nothing in these Terms transfers ownership of Neith AI's intellectual property to you.
Subject to these Terms and any applicable service agreement, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the relevant services for their intended purposes.
8.2 Client Materials
As between Neith AI and the client, the client retains its existing rights in information and materials it submits to our services, subject to any rights held by third parties.
You grant Neith AI the limited rights reasonably necessary to receive, host, process, analyse and otherwise use submitted materials to provide the requested services, comply with applicable law and fulfil our contractual obligations.
This permission does not, by itself, authorise Neith AI to publish client information or disclose it to unrelated third parties for their independent purposes.
8.3 AI-Generated Outputs
Ownership and permitted use of AI-generated outputs may depend on the nature of the output, applicable intellectual property law, third-party technology terms and the relevant client agreement.
Unless otherwise agreed in writing, clients may use outputs delivered to them through the services for their authorised internal, institutional or project purposes, subject to applicable law and third-party rights.
Neith AI does not guarantee that every AI-generated output will qualify for intellectual property protection or be exclusive to a particular user.
You are responsible for ensuring that your use or publication of an output does not infringe third-party rights or breach confidentiality obligations.
8.4 Feedback
If you provide suggestions, ideas or feedback about our website or services, we may use that feedback to improve our offerings, provided that doing so does not disclose your confidential information or infringe rights that cannot lawfully be excluded.
9. Confidentiality
Neith AI recognises that clients may provide commercially sensitive, institutional or otherwise confidential information.
Where confidentiality obligations apply, we will handle such information in accordance with applicable written agreements and relevant legal requirements.
You must not disclose confidential information belonging to another person or organisation unless you are authorised to do so.
Nothing in these Terms overrides a separate confidentiality agreement or permits the disclosure of information where disclosure is prohibited by law.
If you are a government body or public institution, you remain responsible for identifying applicable rules concerning official information, public records, disclosure obligations and access to information.
10. Privacy and Data Protection
Your use of our website and services is also subject to our Privacy Policy.
The Privacy Policy explains how Neith AI may collect, use, store, disclose and protect personal information.
We aim to handle personal information in accordance with applicable data-protection legislation, including South Africa's Protection of Personal Information Act 4 of 2013 (POPIA), where applicable, and other relevant privacy laws.
Depending on the services and arrangements involved, Neith AI may process personal information for its own purposes or on behalf of a client.
Where Neith AI acts as a service provider processing information on behalf of a client, the parties' respective responsibilities should be documented in the applicable agreement.
You must not use our services to process personal information unlawfully or beyond the permissions and purposes established for that processing.
For further information, please review the Neith AI Privacy Policy available on our website.
11. AI Model Training and Service Improvement
The handling of information for AI model training, testing, development and service improvement depends on the relevant service configuration, provider arrangements, contractual commitments and applicable law.
Submitting information to Neith AI does not automatically grant unrestricted permission to use that information for unrelated purposes.
Where information is processed on behalf of a client, Neith AI will be subject to the applicable contractual instructions and legal requirements.
Any use of submitted information for model training or other secondary purposes must be supported by the necessary permissions, legal basis and safeguards.
Clients should consult the relevant service agreement for any specific commitments relating to data use, retention, model training and third-party AI providers.
12. Third-Party Services and Integrations
Our website and services may rely on or link to third-party technologies, platforms, websites and service providers.
These may include hosting providers, cloud infrastructure, AI model providers, analytics tools and communication services.
Third-party services may be subject to their own terms and privacy policies.
Neith AI does not control all third-party services and cannot guarantee their continuous availability, performance or independent practices.
Where a third-party service is material to a particular Neith AI product or engagement, additional terms may apply.
13. Service Availability and Changes
We aim to provide reliable access to our website and services, but we do not guarantee uninterrupted or error-free availability.
Services may occasionally be unavailable because of maintenance, upgrades, security incidents, technical failures, third-party outages or circumstances beyond our reasonable control.
We may update, modify or discontinue website content, features or functionality where reasonably necessary.
Where a change materially affects a contracted service, we will manage it in accordance with the applicable service agreement and legal obligations.
Nothing in this section excludes any rights or remedies that cannot lawfully be excluded.
14. Fees, Subscriptions and Client Agreements
Some Neith AI services may be provided commercially under a quotation, subscription, licence, statement of work or other written agreement.
Where applicable, the relevant agreement will specify the services to be provided, fees, payment terms, duration, renewal arrangements, support commitments and termination rights.
All applicable fees, taxes and additional charges will be disclosed in accordance with the relevant agreement and applicable law.
Unless expressly agreed otherwise, access to a demonstration, introductory consultation or general website content does not constitute acceptance of a commercial proposal or guarantee that a particular service will be supplied.
If there is a conflict between these Terms and a signed client agreement, the signed agreement will prevail for the relevant contracted services to the extent of the inconsistency.
Nothing in this section limits any mandatory consumer rights or cancellation rights that apply under relevant law.
15. Suspension and Termination
You may stop using our public website at any time.
Where you access paid or contracted services, termination will be governed by the applicable client agreement.
We may suspend or restrict access where reasonably necessary to address security risks, unlawful activity, material breaches of these Terms, non-payment under an applicable agreement or risks to the integrity of our services.
Where reasonably practicable and legally permitted, we will provide notice and an opportunity to remedy the issue before suspending access.
Termination or suspension does not automatically extinguish accrued payment obligations, confidentiality obligations or other provisions that are intended to survive termination.
The handling, return, export or deletion of client information following termination will be governed by the applicable agreement, our documented retention arrangements and applicable law.
16. Disclaimers
To the extent permitted by applicable law, the Neith AI website and general information are provided on an "as available" basis.
We take reasonable steps to maintain the quality and reliability of our website and services, but we do not warrant that:
-
The website will always be available or free from errors.
-
Every AI-generated output will be accurate, complete or suitable for a particular purpose.
-
Every analytical finding will capture all relevant stakeholder perspectives.
-
The services will be compatible with every device, system or third-party platform.
-
The use of our services will guarantee a specific policy, institutional or business outcome.
Nothing in these Terms excludes an express warranty contained in a signed agreement or any statutory warranty, right or remedy that cannot lawfully be excluded.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Neith AI will not be liable for indirect or consequential losses arising from the use of, or inability to use, our general website or services, including loss of profits, anticipated savings, business opportunities or data, where such exclusion is legally permissible.
Neith AI is not responsible for decisions made by a user or institution solely because an AI-generated output was produced, particularly where the output was not independently reviewed or verified as appropriate to the circumstances.
You remain responsible for assessing the suitability of outputs for your intended use and for complying with applicable legal and institutional requirements.
Any liability arising under a separate written client agreement will be governed by that agreement.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law, including liability for fraud or any other liability that cannot lawfully be excluded.
18. Indemnity
To the extent permitted by applicable law, you agree to be responsible for losses, claims and reasonable costs arising directly from your unlawful use of the services, your material breach of these Terms or your infringement of another person's rights.
This provision does not apply to the extent that a claim results from Neith AI's own breach of contract, unlawful conduct or other conduct for which liability cannot lawfully be excluded.
Any indemnity obligations under a separate client agreement will be governed by that agreement.
19. Security and Responsible Use
You must take reasonable steps to protect any credentials or access information associated with your use of our services.
You must notify us promptly if you become aware of suspected unauthorised access, misuse or a security incident affecting your account or information submitted to our services.
You must not attempt to interfere with our security controls or use the platform in a manner that creates an unreasonable risk to other users, clients or systems.
Neith AI may implement reasonable security measures and usage restrictions to protect the platform and the information entrusted to it.
20. Website Content and External Links
The information provided on the Neith AI website is intended to describe our organisation, technology and services.
Website content is for general informational purposes and does not constitute legal, regulatory, financial or other professional advice.
Links to third-party websites are provided for convenience or informational purposes. Their inclusion does not necessarily imply endorsement by Neith AI.
We are not responsible for the content, availability or practices of external websites that we do not control.
21. Governing Law and Disputes
These Terms are intended to be governed by the laws of the Republic of South Africa, unless applicable law or a valid written agreement requires otherwise.
The parties will endeavour to resolve disputes arising from these Terms through good-faith discussions.
Where a dispute cannot be resolved through discussion, it may be referred to the competent courts or another dispute-resolution process agreed in writing by the parties.
Nothing in this section prevents a party from seeking urgent legal relief where appropriate or limits any mandatory rights available under applicable law.
22. Changes to These Terms
We may revise these Terms to reflect changes in our services, technology, business operations or legal obligations.
When we make changes, we will update the "Last updated" date on this page.
Where required by law or an applicable agreement, we will provide appropriate notice of material changes.
Your continued use of the website after updated Terms are published may constitute acceptance of those changes where permitted by law. Where affirmative acceptance is legally required, we will obtain it.
23. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
The invalid provision will be interpreted or modified only to the extent legally permissible to give effect to its intended purpose.
24. No Waiver
A failure or delay by Neith AI to exercise a right under these Terms does not constitute a waiver of that right.
Any waiver must be consistent with applicable law and, where appropriate, recorded in writing.
25. Entire Agreement
These Terms govern general access to and use of the Neith AI website.
They do not replace any separate written agreement relating to subscriptions, enterprise services, procurement, licensing, data processing, confidentiality or specific client projects.
Where a separate agreement applies, these Terms and that agreement should be read together.
26. Contact Us
